Terms of Service

Welcome to AImusphere, an AI entertainment service operated by Quant Vortex Inc., a New York corporation ("AImusphere", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the AImusphere website, mobile applications, APIs, and related services (collectively, the "Services"). By accessing or using the Services you agree to be bound by these Terms, our Privacy Policy, our Refund Policy, our Acceptable Use Policy, and our DMCA Notice & Takedown Policy. If you do not agree to all of these documents you may not access or use the Services. You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Services. By using the Services you represent that you (a) are at least 18 years old, (b) have the legal capacity to enter into a binding agreement, and (c) will use the Services in compliance with all applicable laws.

At signup, you must confirm that you meet the age requirement in Section 1. We may request additional age verification and may suspend or terminate accounts if we reasonably believe a user is under the applicable age threshold. Children's privacy. We do not knowingly collect personal information from children under 13. If we discover such information we will delete it promptly (see our Privacy Policy §11 for details). EU / UK. Where local law sets a higher minimum age for digital service consent (such as 16 under GDPR Art. 8 in many EU member states or under the UK ICO Children's Code), the higher age applies.

To use most features you must create an account. You agree to: - Provide accurate, current, and complete information at signup. - Maintain and promptly update your account information so it stays accurate. - Keep your password (and any third-party SSO credentials) secure and confidential. - Not share your account credentials with others. - Notify us immediately at [email protected] of any unauthorized access or other security concern. We may suspend or terminate any account that violates these Terms or our Acceptable Use Policy.

AImusphere provides software-based AI entertainment, including: - AI character chat — text and voice conversations with curated and user-created AI personas - Interactive video games — short-form interactive stories with branching paths - Image and media generation — AI-generated images and other creative output (where enabled by your subscription tier) - Subscription tiers and credit packs — paid features that unlock additional usage, voice features, premium personas, and creative tools The Services are entirely digital. We do not sell physical merchandise. There is no shipping. There is no physical inventory. The Services may change. We may add, remove, or modify features at any time. Material changes affecting paid features will be communicated per Section 14.

Pre-launch payment status. Paid checkout is temporarily unavailable while we enable our PCI-DSS compliant hosted payment processor. No new paid subscriptions or credit packs are sold through our website while checkout is unavailable. Pricing. Current subscription tiers (Premium $12.99 / VIP $22.99) and credit pack pricing are shown on our subscription page before purchase. Prices are in U.S. dollars and exclude any applicable taxes that may be added at checkout based on your billing jurisdiction. Payment processor. When checkout is enabled, payment-card data will be handled directly by our hosted payment processor and will never touch our servers (PCI-DSS SAQ A scope). Subscriptions auto-renew. After paid checkout is enabled, subscriptions automatically renew at the end of each billing cycle (monthly, quarterly, or annual) at the then-current price unless you cancel before renewal. You may cancel any time from your account settings. Annual subscribers will receive a reminder before renewal (per New York General Business Law §527-A). Cancellation and refunds. See our Refund Policy for the complete cancellation and refund terms. Those payment terms apply to existing paid users and to new purchases only after checkout is enabled. Statement descriptor. When we process charges, your card or bank statement will show AIMUSPHERE for charges from us. Receipts. When we process charges, an automated email receipt for every charge is sent to your billing email address.

Your content. You may create personas, conversations, custom prompts, generated media, and other content within the Services ("Your Content"). You retain ownership of any original Your Content you create. License grant to us. By submitting Your Content to the Services you grant Quant Vortex Inc. a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create necessary technical copies of Your Content solely for the purpose of operating, maintaining, and improving the Services and providing them to you. This license terminates when you delete the content (subject to standard backup retention periods stated in our Privacy Policy). No training without consent. Quant Vortex Inc. does not use Your Content to train, fine-tune, or improve any AI model. See our Privacy Policy §2.5 for details on how we and our subprocessors handle your prompts. Your responsibility. You represent and warrant that Your Content does not infringe the rights of any third party (including copyright, trademark, privacy, publicity, or contract rights) and complies with our Acceptable Use Policy.

The Services and their original content (excluding Your Content), features, and functionality are owned by Quant Vortex Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Limited license to you. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. Restrictions. You may not (and may not permit any third party to): - Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Services - Scrape, crawl, or collect data from the Services without our express written permission - Use the Services to develop a competing AI service or to extract training data - Resell, sublicense, or commercially exploit any portion of the Services beyond what your subscription tier permits - Remove or obscure any proprietary notices on the Services Trademarks. "AImusphere" and our logo are trademarks of Quant Vortex Inc.. You may not use them without our prior written permission.

AI is not a person. AI characters and generated outputs are software responses created automatically by large language models and other machine-learning systems. They are not human, are not advice, and may be inaccurate, incomplete, biased, or offensive. Do not rely on AI output for safety-critical decisions. Generated text, images, and voice responses are for entertainment only. They are not professional medical, legal, financial, mental-health, or safety advice. Consult qualified professionals for those matters. AI may be incorrect. Generated outputs may contain errors, hallucinations, fabricated facts, or biased content. We provide no warranty as to accuracy. Generated content disclosure. Within chat surfaces we display a persistent disclaimer reminding you that you are interacting with AI, not a human.

Acceptable Use Policy. Your use of the Services must comply with our Acceptable Use Policy, which prohibits — among other things — child sexual abuse material (CSAM), threats of violence, non-consensual intimate imagery, and human trafficking. Violations result in immediate account termination and, where applicable, reports to law enforcement. Reporting infringement. If you believe content on the Services infringes your copyright, please follow the procedure in our DMCA Notice & Takedown Policy. Our designated DMCA agent is reachable at [email protected] and at the address above. Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users determined to be repeat infringers of intellectual property rights.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, QUANT VORTEX INC. DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT GENERATED CONTENT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In particular, EU/UK consumers retain non-waivable rights under EU Directive 2011/83/EU, UK Consumer Rights Act 2015, and similar consumer-protection laws.

TO THE FULLEST EXTENT PERMITTED BY LAW, QUANT VORTEX INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). Nothing in these Terms limits any liability that cannot be limited under applicable law (including liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under EU/UK consumer law).

You agree to indemnify, defend, and hold harmless Quant Vortex Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use or misuse of the Services, (b) Your Content, (c) your violation of these Terms or applicable law, or (d) your violation of any third-party right, including any intellectual-property or privacy right.

Governing law. These Terms and any disputes arising out of or relating to them or to the Services are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Venue. You agree that any judicial proceeding must be brought exclusively in the state or federal courts located in New York, New York, USA, and you consent to the personal jurisdiction of those courts. Mandatory consumer-law exception. Nothing in this Section overrides the mandatory consumer-protection laws of your country of residence. EU consumers may also bring proceedings in their home jurisdiction; UK consumers may bring proceedings under the Consumer Rights Act 2015 + Consumer Contracts Regulations 2013. Class action waiver. To the extent permitted by law, you and we each waive the right to participate in any class or collective action against the other. Disputes will be resolved on an individual basis.

We may update these Terms from time to time. When we make material changes we will provide notice by posting the updated Terms on this page with a new "Last updated" date and (where the change materially affects paid features) by sending an email to your registered email address. For substantive changes affecting subscription pricing or billing terms we will provide at least 5 business days advance notice (and longer where required by NY GBL §527-A). Your continued use of the Services after the effective date of an updated Terms constitutes your acceptance of the new Terms. If you do not agree, you must stop using the Services and may cancel your subscription per our Refund Policy.

Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, and DMCA Notice & Takedown Policy, constitute the entire agreement between you and Quant Vortex Inc. regarding the Services. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later. Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control (natural disasters, war, government action, internet outages, infrastructure-provider failure, etc.).
